1. A neutral venue, not a broker

DealNest provides an online venue where business owners can list businesses for sale and prospective buyers can discover them. DealNest is not a business broker, real-estate broker, broker-dealer, law firm, escrow agent, or party to any transaction between users. We do not negotiate deals, represent either party, or earn any success or transaction fee. DealNest is free to use — we charge no listing, subscription, success, or transaction fee.

2. No fund custody

DealNest never takes custody of, holds, or transmits deal funds. Any transfer of purchase proceeds must occur through a licensed third-party escrow agent, bank, or qualified payment processor selected by the parties. DealNest has no role in and no liability for the movement of funds.

3. Third-party content and accuracy

Listings and messages are created by users. DealNest does not verify the accuracy, completeness, or legality of any listing and makes no warranty regarding any business offered for sale. As an interactive computer service, DealNest is not the publisher or speaker of user-provided content. You are solely responsible for your own due diligence.

4. No legal, tax, or financial advice

Any templates, checklists, or educational material are provided for general information only and do not constitute legal, tax, accounting, or financial advice. Selling or buying a business involves significant legal and tax consequences that vary by entity type, deal structure, and state. You must obtain your own licensed attorney and CPA and have all agreements reviewed before signing.

5. Confidentiality and the NDA

Confidential listing details are disclosed only to buyers who accept the applicable non-disclosure agreement. Misuse of confidential information, scraping, or circumventing the platform's confidentiality controls is prohibited and may terminate your account.

6. Acceptable use

  • No false, misleading, or fraudulent listings.
  • No harvesting of other users' personal information.
  • No exchanging of off-platform contact details to evade messaging controls.
  • No unlawful, infringing, or harassing conduct.

7. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and the parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware. This neutral-venue choice does not waive any non-waivable consumer rights you may have under your home state's law.

8. Disclaimers and limitation of liability

The service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, DealNest is not liable for any indirect, incidental, or consequential damages arising from your use of the service or any transaction between users.
